Welcome to iTractIT. These Terms & Conditions govern your use of our website and the digital marketing services provided by iTractIT.

By accessing our website, submitting an enquiry, requesting our services, or entering into a business relationship with us, you acknowledge that you have read and understood these Terms & Conditions.

Where a separate written agreement, proposal, quotation, Statement of Work, or service agreement exists between iTractIT and a client, that agreement will take priority over these website Terms to the extent of any inconsistency.

1About iTractIT

We provide digital marketing and advertising services to businesses across the United States, United Kingdom, European Union, Middle East, and other international markets.

Our services may include:

  • Google Ads campaign setup and management
  • Search Ads
  • Performance Max
  • Shopping campaigns
  • YouTube advertising
  • Keyword research
  • Competitor research
  • Campaign strategy and account structure
  • Ad copy and advertising assets

  • Landing page recommendations
  • Other digital marketing services agreed in writing

We may recommend changes to the scope of work where reasonably necessary to support the agreed business objectives.

3Client Responsibilities

Clients are responsible for providing accurate and complete information required to deliver the agreed services.

This may include business information, product or service information, pricing, website access, advertising account access, analytics access, brand assets, customer information, and other relevant materials.

The client is responsible for ensuring that information and materials provided to iTractIT are accurate, lawful, and suitable for advertising.

Delays in providing information, access, approvals, or materials may affect campaign launches, project timelines, reporting, or performance.

4Advertising Platforms

Our services may involve third-party platforms including Google Ads, Google Analytics, Google Tag Manager, YouTube, payment providers, hosting services, and other technology providers.

These platforms operate independently from iTractIT and may change their policies, algorithms, features, prices, approval processes, technical requirements, or availability.

iTractIT cannot guarantee the continued availability, approval, or specific performance of any third-party platform.

Clients may also be required to comply with the terms and policies of those third-party services.

5Advertising Approval

iTractIT will use reasonable professional efforts to create campaigns that comply with applicable advertising-platform requirements.

However, we cannot guarantee approval of any particular advertisement, keyword, product, website, landing page, campaign, or advertising account.

Advertising platforms may reject, restrict, suspend, or terminate advertising accounts or campaigns for reasons outside our reasonable control.

6Advertising Budget

Advertising spend paid to Google or another advertising platform is separate from iTractIT's service fees unless otherwise agreed in writing.

The client is responsible for maintaining sufficient advertising funds for the agreed campaign strategy.

iTractIT does not control advertising auction prices, cost per click, search volume, competitor activity, impression availability, or third-party platform charges.

7No Guaranteed Results

Digital advertising performance depends on many factors outside our reasonable control.

These may include market competition, search demand, advertising costs, website performance, landing page experience, pricing, offers, customer behaviour, industry conditions, competitor activity, advertising-platform changes, budget, conversion tracking, and sales processes.

Therefore, iTractIT does not guarantee a specific number of clicks, leads, sales, customers, revenue, conversion rate, cost per lead, return on advertising spend, or profit, unless a specific written guarantee has been expressly agreed.

Any examples, case studies, statistics, testimonials, or performance figures published on our website represent past or illustrative information and should not be interpreted as a guarantee of future results.

8Client Advertising Claims

The client remains responsible for the accuracy and legality of claims concerning its business, products, services, pricing, offers, guarantees, certifications, testimonials, and other commercial information.

iTractIT may rely on information supplied or approved by the client when creating advertising materials.

We may refuse to publish or manage advertising content that we reasonably believe may be unlawful, misleading, fraudulent, infringing, or in violation of an advertising platform's policies.

10Fees and Payments

Service fees, payment schedules, billing arrangements, deliverables, and other commercial terms will be specified in the applicable proposal, quotation, Statement of Work, or service agreement.

Unless otherwise agreed in writing:

  • Fees are payable according to the agreed payment schedule.
  • Advertising platform costs are separate from iTractIT's service fees.
  • Additional work outside the agreed scope may incur additional fees.
  • iTractIT may pause services where undisputed invoices remain unpaid after the applicable payment deadline.
  • Applicable taxes, duties, transaction fees, or bank charges will be handled according to the applicable agreement and law.

11Cancellation and Refunds

Cancellation and refund terms will be determined by the applicable service agreement or proposal.

Because digital marketing services may involve research, strategy, account setup, campaign management, analysis, and work performed specifically for a client, fees relating to services already properly performed are generally non-refundable unless otherwise agreed in writing or required by applicable law.

Nothing in these Terms is intended to remove any mandatory consumer or statutory rights that cannot legally be excluded.

12Client Approvals

Where client approval is required, the client is responsible for reviewing and approving advertising materials, campaign changes, budgets, offers, landing page recommendations, and other relevant materials within a reasonable timeframe.

iTractIT is not responsible for delays caused by a client's failure to provide required approvals, information, access, or materials.

13Intellectual Property

Each party retains ownership of intellectual property that it owned before the business relationship began.

Client-owned materials, including trademarks, logos, images, website content, and other materials supplied by the client, remain the property of the client or their respective owners.

iTractIT retains ownership of its pre-existing systems, processes, templates, methodologies, frameworks, know-how, and proprietary materials.

Any ownership or usage rights relating to specifically created deliverables will be determined by the applicable written agreement.

14Confidentiality

Both parties agree to treat confidential business information received from the other party as confidential and to use such information only for legitimate purposes connected with the business relationship.

Confidential information may be disclosed where reasonably necessary to provide the agreed services, where required by law, or where otherwise authorised.

15Data Protection and Privacy

iTractIT respects applicable privacy and data-protection requirements.

Depending on the nature of the engagement and the parties involved, applicable requirements may include the UK GDPR, EU GDPR, applicable United States privacy laws, and data-protection requirements applicable in relevant Middle Eastern jurisdictions.

Where required, additional data-processing or privacy terms may be agreed between iTractIT and the client.

Clients remain responsible for ensuring that their own collection, use, sharing, and processing of personal data complies with applicable law.

Please also refer to our Privacy Policy for information about how personal information submitted through our website is handled.

16Account Access and Security

Clients are responsible for maintaining the security of their accounts and credentials.

Where available, iTractIT should be granted access through official account-management or user-permission systems rather than through the sharing of passwords.

Both parties should take reasonable steps to protect account access and confidential information.

17Website Use

You agree not to use the iTractIT website:

  • For unlawful purposes
  • To commit fraud or deception
  • To gain unauthorised access to systems
  • To distribute malicious software
  • To infringe intellectual-property rights
  • To interfere with website functionality
  • To submit intentionally misleading information
  • In a way that could reasonably harm iTractIT or third parties

We reserve the right to restrict access where reasonably necessary.

18Website Information

We make reasonable efforts to ensure that information published on our website is accurate and current.

However, we do not guarantee that website content will always be complete, current, error-free, or continuously available.

We may update, change, suspend, or remove website content or functionality when reasonably necessary.

19Suspension or Termination

Either party may terminate an ongoing service relationship in accordance with the applicable written agreement.

iTractIT may suspend or terminate services where reasonably necessary if:

  • Undisputed payments remain overdue;
  • The client requests unlawful or prohibited activity;
  • Required information or account access is repeatedly unavailable;
  • The client materially breaches the applicable agreement;
  • Continuing the engagement creates significant legal, security, or reputational risk; or
  • Suspension or termination is otherwise permitted under the applicable agreement or law.

Termination does not remove the client's obligation to pay undisputed fees properly due for services already provided.

20Limitation of Liability

Nothing in these Terms is intended to exclude or restrict any liability that cannot lawfully be excluded or restricted under applicable law.

To the maximum extent permitted by applicable law, iTractIT will not be responsible for indirect, incidental, special, consequential, or unforeseeable losses arising from the use of our website or services.

This may include loss of anticipated revenue, profit, business opportunities, customers, data, or expected advertising performance.

Where permitted by applicable law, iTractIT's total liability arising from a particular service engagement will be limited to the service fees actually paid to iTractIT for the relevant services during the applicable period stated in the written agreement.

This limitation will not apply where applicable law prohibits such limitation.

22Force Majeure

iTractIT will not be responsible for delays or failures caused by circumstances beyond our reasonable control.

This may include major internet or infrastructure failures, third-party platform outages, cyber incidents, natural disasters, government actions, widespread technical failures, or other events outside our reasonable control.

Where reasonably possible, we will communicate material disruptions and take reasonable steps to resume affected services.

23Changes to These Terms

We may update these Terms & Conditions from time to time to reflect changes in our services, business practices, technology, or legal requirements.

The latest version will be published on this page with the relevant "Last Updated" date.

Changes to an existing client's agreed commercial terms will not automatically override a separate written agreement unless agreed by the parties or permitted by applicable law.

24Governing Law and Disputes

For each client engagement, the applicable proposal, Statement of Work, or service agreement should specify the governing law and dispute-resolution arrangements where appropriate.

If no separate governing-law provision has been agreed, the parties will first attempt to resolve any dispute through good-faith communication and reasonable negotiation.

Nothing in these Terms prevents either party from exercising any mandatory legal right or remedy available under applicable law.

25Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be modified or removed only to the extent necessary, while the remaining provisions will continue to apply to the extent permitted by law.

26Entire Agreement

For a specific client engagement, these Terms should be read together with the applicable proposal, quotation, Statement of Work, service agreement, and other documents expressly incorporated into that agreement.

If there is a conflict between these website Terms and a separately signed client agreement, the signed agreement will take priority to the extent of the conflict.
